Description
Purchase price adjustments represent a variable portion of a merger and acquisition (M&A) transaction's purchase price. The element of fraud can occasionally occur in disputes over the mechanisms that may adjust a transaction's purchase price. Expert witnesses are often called in to evaluation the working capital adjustments and earn-out adjustments to assist buyers and sellers in a trial setting. During this presentation, learn about several purchase price disputes that involved a level of deception and fraudulent behavior that Josh has been called on as an expert witness.
